By accessing or using Simple Product ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Simple Product is a product management platform that helps you organize work, track feedback, manage customers, and collaborate with AI assistance.

3. Account Registration

• You must provide accurate information when creating an account
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized access

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other accounts
• Use the Service to send spam or unsolicited communications
• Interfere with or disrupt the Service
• Resell or redistribute the Service without permission
• Use the Service to build a competing product

5. User Content and Data

Your Data: You retain ownership of all data and content you create or upload to the Service ("User Content").

License to Us: By using the Service, you grant us a limited license to store, process, and display your User Content solely to provide the Service to you. This license ends when you delete your content or close your account.

AI Processing: When you use AI features, your content may be processed by third-party AI providers (such as Anthropic) to provide responses. See our Privacy Policy for details.

6. Intellectual Property

The Service, including its design, features, and code, is owned by Simple Product and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

7. Third-Party Services

The Service integrates with third-party services (Google, GitHub, Anthropic, etc.). Your use of these integrations is subject to the respective third party's terms and policies. We are not responsible for third-party services.

8. Payment Terms

• Some features may require a paid subscription
• Payments are billed in advance on a monthly or annual basis
• Refunds are provided at our discretion
• We may change pricing with 30 days notice
• Failure to pay may result in suspension of your account

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLE PRODUCT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Simple Product and its operators from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Termination

By You: You may stop using the Service and close your account at any time.

By Us: We may suspend or terminate your access at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, abusive behavior, or extended inactivity.

Upon termination, your right to use the Service ends immediately. We may delete your data after termination.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Georgia.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Simple Product regarding the Service.
